We automatically extend quantity discounts on all qualifying orders; you don't have to ask for them.

Handling Charges: Small orders, those less than $100.00 which are costly to handle for both you and us, are subject to a handling charge. Transportation regulations require special handling for most hazardous chemicals, the cost of which will be added to your invoice.

Terms: Terms are net 30 days to domestic accounts with approved credit. Freight is FOB shipping point with title passing at that point. Unless you specify otherwise, we will always ship "best way."

Damaged Shipments: Please inspect your InterWorld shipment upon receipt. If it shows any external damage, accept it only after the driver has noted the damage on both his and your copies of the delivery receipt and you have requested an inspection by the carrier. Keep all containers and packing material for inspection. If, upon opening a shipment, you find a shortage or damage, you must request inspection by the carrier within 15 days of delivery or you will relinquish your right to make a claim. InterWorld Network International reserves the right to repair a damaged product where applicable before replacement or credit is determined.

Returns: All returns must be authorized by InterWorld Network International, Inc. and may be subject to a restocking charge. Please call or write for an authorization number. All items approved for return must be in unused and resalable condition. We reserve the right to inspect them before issuing credit. They must be returned within 60 days of receiving them.

To insure you receive credit, you must include with each return:

• Your name, address and purchase order number
• InterWorld shipping order number, date of invoice, and catalog number(s)
• InterWorld return authorization number and your reason for the return.

We cannot accept for return any of the following:

• Open chemicals or diagnostics
• Refrigerated or other perishables
• Items with an expired shelf life or an expiration date too short for resale
• Items provided by InterWorld on a "Special Order"
• Discontinued items
• Items not purchased from InterWorld Network International, Inc.

Return shipments of hazardous material must be packed and labeled to meet DOT regulations. All shipping documents must meet DOT regulations.

Miscellaneous: You may not cancel any order without InterWorld's consent. The terms and conditions on the face of InterWorld's invoices, if any, and as set forth herein shall constitute the contract between InterWorld and you and shall govern the sale of products. No other terms and conditions whatsoever shall be controlling unless InterWorld and you have entered into a formal written contract for specified terms covering the sale of such products. In such latter event, the terms and conditions of such formal written term contract shall govern. Clerical errors are subject to correction by InterWorld. Any provision hereof which is contrary to law shall not invalidate any other provision hereof, and any provision required to be included herein by applicable law shall be deemed to be incorporated herein.

Limited Warranty: InterWorld will replace, or at a customer's option credit customer's account the purchase price for, products that fail to meet the then current published manufacturer's specifications, provided such products are returned to InterWorld within 60 days after shipment. InterWorld will assist customer, at customer's sole expense, in obtaining any manufacturers' warranties applicable to products sold to customer consistent with the warranties obtained from such manufacturers by InterWorld.

Disclaimer of Warranty and Liability: INTERWORLD DISCLAIMS ALL OTHER WARRANTIES OR GUARANTEES WITH RESPECT TO ANY PRODUCTS PURCHASED FROM INTERWORLD, WHETHER STATUTORY, WRITTEN, ORAL, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, SUITABILITY OR FITNESS FOR A PARTICULAR PURCHASE. IN NO EVENT SHALL InterWorld BE LIABLE OR RESPONSIBLE FOR ANY EXEMPLARY, PUNITIVE, SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO LOSS OF PROFITS, USE OR GOODWILL) OF ANY KIND WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY OR FORM OF ACTION EVEN IF INTERWORLD HAS BEEN ADVISED OF THE POSSIBILITY THEREOF. INTERWORLD'S SOLE LIABILITY AND CUSTOMER'S SOLE REMEDY FOR ANY CLAIM RELATING TO ANY PRODUCTS PURCHASED FROM INTERWORLD IS AS SET FORTH IN THE LIMITED WARRANTY.
